The Hammana Club of Southern California Preamble
The Hammana Club of Southern California (HCSC) is founded
exclusively to carry out religious, charitable and educational goals,
in particular as pertains to the community of immigrants in the United
States and in support of the needy and young of Hammana, Lebanon. The
Hammana Club of Southern California is established to bring together those
with roots and ties with the homeland of Lebanon, and the hometown of
Hammana. The primary goal of the Hammana Club Of Southern California is
to provide educational and social support to Hammana descendants present
in the United States and abroad, and perpetuate religious and cultural
traditions derived from the roots of Hammana. Ten percent (10%) of the
money raised each year will be divided equally between St John Maron Church
in Anaheim, and Our Lady of Mount Lebanon in Beverly Hills. The money
shall be used to sponsor children and young adult programs. Ninety percent
(90%) of the money raised will be going to Hammana, in Lebanon.
This organization is organized exclusively for charitable and educational purposes within the meaning of section 501(c) (3) of the Internal Revenue Code. Notwithstanding any other provision of these articles, the organizations shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from Federal Income tax under section 501 (c) (3) of the Internal Revenue Code of 19 54m, (or the corresponding provision of any future United States Internal Revenue law) or 9(b) by an organization contributions of which are deductible under section 170(c) (2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue law). Upon the winding up and dissolution of this organization, after paying or adequately providing for the debts and obligations of this organization, the remaining assets shall be distributed to a nonprofit fund, foundation or corporation which is organized and operated exclusively for charitable, educational, religious and/or scientific purposes and which has established its tax exempt status under section 501 (c) (3) of the Internal Revenue Code.
. ARTICLE I – NAME The name of the organization shall be: Hammana Club of Southern California (HCSC). The seal shall consist of the name and a design adopted by the membership. ARTICLE II - DURATION The duration of the Hammana Club of Southern California will be indefinite. ARTICLE III -- HEADQUARTERS
Participation in the Hammana Club of Southern California shall be for any individual who shares an interest in the purpose of this organization. The Hammana Club of Southern California shall be non-partisan, non-sectarian and non-political. There shall be no discrimination on account of race, creed or gender. A membership fee may be established by majority vote of the membership. ARTICLE V -- OFFICERS AND ORGANIZATIONAL STRUCTURE 1. The officers of the Hammana Club of Southern California shall consist of a President, First Vice President, Second Vice President, Treasurer and Recording Secretary, Corresponding Secretary and Sergeant at Arms. These officers shall constitute the Executive Committee. Ad Hoc Committees may be established by the Executive Committee and appointed by the President, for specific projects. It shall be incorporated in the State of California after having received 501 (c) (3) status by the Internal Revenue Service. 2. The Executive Committee will govern the Hammana Club of Southern California. The Executive Committee will make all day to day decisions in operating this organization. 3. Term of Office. The Officers shall hold office for a period of one year beginning the first day of each calendar year. Officers may be removed by a majority vote of the membership for cause. 4. The President shall preside over all meetings and the meetings of the executive committee. He(she) shall have the power to appoint-all committees. 5. The First Vice-president shall assist the President in the performance of his duties and shall be responsible for all social and fund raising functions. 6. The Second Vice President shall ensure the membership and assist the President and First Vice President in the conduct of their duties. 7. The Treasurer shall keep accurate records of all dues and monies received and of all disbursements. He(she) shall make no expenditures except for costs of administration and for such matters as the members in meeting shall direct. He(she) shall prepare an annual report. 9. The Corresponding Secretary shall be responsible for the notification of the membership of all meetings and all events. This officer shall maintain a current and accurate mailing list of all membership and potential members for this organization. If a vacancy occurs in the office of President,
the succession is to move up one office within the ranks of the
Vice-Presidents. If a vacancy occurs in any other office, the vacancy
shall be filled by appointment of the President with the consent
and approval of a majority of the Executive Committee with the appointment
to end with the next election of the officers.
ARTICLE VI – GENERAL ASSEMBLY The general assembly shall consist of two-third of the membership and a majority of the executive committee. No proxy vote is allowed. ARTICLE VII The general assembly shall hold an annual meeting each year in the month of December. Election of officers shall be conducted at this meeting. No proxy vote is allowed. ARTICLE VIII -- AMENDMENTS The Hammana Club of Southern California at a meeting held for such purpose, or at an annual meeting, may adopt an amendment to these Bylaws by the affirmative vote of two-thirds (2/3) of the total members. If there is no quorum, then another vote shall be made between fourteen to thirty days by two-thirds (2/3) of member present. No proxy vote is allowed. Execution: The preamble and bylaws were amended and adopted by unanimous consent, in a special meeting of The general assembly on the 4th day of July 2003, in Los Angeles, California.
